Terms of Use

User’s continued use of the Site following the posting of any changes to this Agreement constitutes acceptance of those changes.

1. Access

Subject to the terms and conditions of this Agreement, the Site and its contents are made available for informational purposes only. AMSAW may modify, suspend, or discontinue the Site at any time, including the availability of any feature, database, or content. AMSAW may also impose limits on certain features and services or restrict User’s access to parts or all of the Site without notice or liability.

User certifies to AMSAW that if User is an individual (i.e., not a corporation), User is at least 18 years of age and has the legal authority to enter into this Agreement. User further certifies that access to the Site is lawful in the User’s jurisdiction and assumes full responsibility for compliance with all applicable laws and regulations. This Agreement is void where prohibited by law, and the right to access the Site is revoked in such jurisdictions.

If User wishes to access any products, software, or services that AMSAW offers through the Site ("Services"), a separate agreement may be required, and nothing in this Agreement shall be deemed to grant any right or license to use or access such Services. 2. Intellectual Property

All content included on the Site, including but not limited to text, images, graphics, logos, icons, code, software, audio, and video, is the exclusive property of AMSAW or its licensors and is protected by applicable intellectual property laws. No content or materials from the Site may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any form or by any means without AMSAW’s express prior written consent.

All trademarks, service marks, and trade names displayed on the Site are proprietary to AMSAW or other respective owners.

3. Restrictions

User agrees not to:

  • Use the Site for any unlawful purpose or in violation of any applicable laws or regulations;

  • Reverse engineer, decompile, or disassemble any software or technology made available through the Site.

4. Export Control and Compliance

7. Limitation of Liability

IN NO EVENT WILL AMSAW, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO USER OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE USE OF OR INABILITY TO USE THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL AMSAW’S TOTAL LIABILITY TO USER FOR ALL CLAIMS RELATING TO THE SITE EXCEED THE AMOUNT PAID BY USER TO AMSAW, IF ANY, FOR ACCESSING THE SITE.

8. Indemnification

User agrees to indemnify and hold harmless AMSAW, its affiliates, officers, directors, employees, and agents from and against any and all claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of User’s use of the Site, violation of this Agreement, or infringement of any intellectual property or other rights of any person or entity.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the [State of New York, USA], without regard to its conflict of laws principles. Any dispute arising under or related in any way to this Agreement shall be subject to the exclusive jurisdiction of the courts located in [New York, NY].

10. Miscellaneous

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. AMSAW’s failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
